    You must interpret company playbooks consistently and make clear judgment calls about what to redline and what to accept, since the AI learns from your choices.

    For example: “A vendor's MSA caps liability at 2x fees for most claims but excludes IP indemnity. Your playbook allows 1x for general damages but requires mutual caps on IP indemnity. How would you redline and explain your rationale?”

  2. 2.Identifying fallback positions and negotiation trade-offs

    Teaching AI when to stand firm versus when to compromise is core to building a system that models real commercial negotiation strategy.

    For example: “A vendor refuses your 24-hour breach notification deadline but offers 48 hours with better audits. Your company prefers 24 but has accepted 48 for pricing. How would you document this trade-off?”

  3. 3.Writing clear explanations for legal changes

    Your written rationales are what the AI learns from; vague or circular reasoning teaches the system poor judgment, while precise explanations teach sound legal thinking.

    For example: “You're redlining liability caps in a data processing agreement, carving out indemnification and data breaches. How would you explain to an engineer why these carve-outs matter and interact with the cap?”

    Tech contracts involve specialized risks and principles (IP indemnification scope, data security baselines, SaaS service levels) that the AI needs to learn correctly.

    For example: “A cloud services agreement lets the vendor use your data to improve their AI. Your policy requires explicit opt-in per dataset. How would you approach this redline?”

    A single misreading of a clause - conflating exclusions with carve-outs, or missing a scope limitation - teaches the AI incorrect legal reasoning.

A task you may get

Redline a sample MSA or data protection agreement provided by the project, marking key issues and drafting clear, reasoned explanations for each revision. Identify at least one fallback position you would offer if the vendor objected.

How to prepare

  • Review three representative commercial agreements from your practice and prepare to explain the business reasoning behind each major clause you typically redline.
  • Study one technology contract type (SaaS, API, cloud services, or data processing) and be ready to articulate the unique risks and standard deal structures for that type.
  • Think of a real negotiation where you compromised on a contract term and be prepared to explain the trade-off and what factors drove your decision.
