1.Dual-use clause interpretation
A single ambiguous clause in a data processing agreement can cut multiple ways depending on how a court interprets intent; your judgment teaches the AI to spot these risks.
For example: “An NDA defines permitted use as broader than your company would typically accept, but the counterparty won't budge. Walk through your redline strategy and what you'd explain to the business team.”
2.Policy boundary testing
You need to judge borderline clauses that don't obviously violate policy but feel risky - this judgment distinguishes AI systems that are merely compliant from systems that actually protect the company.
For example: “The vendor's standard service agreement limits liability to fees paid in the prior 12 months. You'd flag it, but how do you score an AI that accepted it with a comment versus one that rejected it outright?”
3.Counterparty negotiation modeling
Your scenarios teach AI that negotiation is problem-solving, not binary accept-reject, and that understanding the counterparty's position enables better outcomes.
For example: “The vendor refuses your indemnification language but offers equivalent protection through insurance requirements instead. How do you evaluate and score that response?”
4.Tech-specific risk patterns
Technology agreements present specialized risks - API changes, data export formats, encryption standards - that general contract review misses; your reference answers must model this thinking.
For example: “A cloud service agreement has a 90-day termination notice requirement and restricts data export formats during the wind-down period. What's the actual risk and how would you address it?”
5.Reference answer quality
Your reference answers set the standard for what AI will be trained against; if they miss business context or legal nuance, the entire system learns poorly.
For example: “Write a reference answer for how to evaluate an indemnity cap in a $2M SaaS contract for a critical business function, explaining both the legal and business analysis.”
A task you may get
Create a redline scenario for an NDA with dual-use IP clauses, develop an 8-item grading rubric, provide the reference answer, and explain why certain AI responses would be inadequate.
